1. Definitions
   1. "We," "Us," or "Our" refers to MeNeedThatNow, and Terrariums.
   2. "You" or "Your" refers to the customer or entity purchasing goods and/or services from Us.
   3. "Goods" means the items We supply as specified in Your order.
   4. "Services" means the work We perform as specified in Your order.
   5. "Contract" means the legally binding agreement between Us and You for the supply of Goods and/or Services.
2. Basis of Contract
   1. These Terms and Conditions apply to all contracts for the supply of Goods and/or Services by Us to You and supersede all prior agreements or understandings.
   2. Any order placed by You constitutes an offer to purchase Goods and/or Services, which is subject to acceptance by Us.
3. Orders and Acceptance
   1. Orders must be placed in writing or via an agreed method.
   2. Orders are subject to Our written confirmation, at which point the Contract comes into effect.
4. Price and Payment
   1. Prices for Goods and Services are specified in Our quotation, invoice, or other communication.
   2. All prices are exclusive of VAT, delivery charges, and other applicable taxes unless stated otherwise.
   3. Payment terms are 30 days from the date of invoice.
   4. We reserve the right to charge interest on overdue payments at the statutory rate under the Late Payment of Commercial Debts (Interest) Act 1998.
5. Delivery or Collection of Goods
   1. Delivery dates are approximate and not guaranteed.
   2. Risk in the Goods passes to You upon delivery or collection. Ownership passes to You only when payment has been made in full.
6. Supply of Services
   1. We will perform the Services with reasonable skill and care.
   2. Any timelines for the completion of Services are estimates only and not binding.
7. Warranty
   1. We warrant that Goods will conform to their description and be free from material defects.
   2. You must notify Us in writing of any defects within 7 days of discovery.
8. Limitation of Liability
   1. Nothing in these Terms excludes or limits Our liability for death, personal injury, or fraud caused by Our negligence.
   2. Subject to clause 8.a, Our total liability for any loss or damage arising from the Contract will not exceed the total price of the Goods and/or Services supplied.
9. Termination
   1. Either party may terminate the Contract if the other party breaches its obligations and fails to remedy the breach within 14 days of receiving notice.
10. Force Majeure
    1. We are not liable for any delay or failure to fulfill Our obligations caused by events beyond Our reasonable control, including but not limited to acts of God, strikes, or government actions.
11. Data Protection
    1. Any personal data processed under this Contract will be handled in accordance with applicable data protection laws and Our Privacy Policy.
12. Governing Law and Jurisdiction
    1. These Terms and the Contract are governed by the laws of England and Wales.
    2. Any disputes arising from the Contract will be subject to the exclusive jurisdiction of the courts of England and Wales.
13. General
    1. If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions will remain in full force and effect.
    2. No waiver by Us of any breach of these Terms will be considered a waiver of any subsequent breach.
